This Producer Terms of Service (“Agreement”) is a legally binding contract between you (“Producer,” “Vendor,” or “you”) and HitFiend Beats LLC (“HitFiend,” “Platform,” “we,” “our,” or “us”), governing your use of the HitFiend.com platform to upload, market, sell, and license your music, instrumentals, sound kits, and related products (“Products”).
By registering as a vendor and uploading content, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you may not use the Platform as a producer.
Product – Any audio, beat, instrumental, sound kit, or related file you upload to HitFiend.com.
Non-Exclusive License – A license granting limited rights to multiple buyers while you retain ownership.
Exclusive License – A license granting broader rights to a single buyer, as defined in your listing.
Preview – The audio sample streamed through the Sonaar MP3 Player for potential buyers.
Buyer – Any customer who purchases or licenses your Product through HitFiend.com.
Platform Tools – Systems including Dokan Vendor Dashboard, Fluent Forms (ID 3), Sonaar MP3 Player, and Out-Of-The-Box (Dropbox integration).
You retain full ownership of your Products unless expressly transferred under an Exclusive License sale.
You are solely responsible for ensuring that your Products do not infringe any third-party copyright, trademark, or other intellectual property rights.
By uploading, you grant HitFiend a worldwide, royalty-free license to stream, display, and market your Products on the Platform for promotional and sales purposes.
You may list Products under the following license types:
Non-Exclusive License – You retain ownership and may license the Product to multiple buyers. Buyers receive limited commercial rights as described in your product listing.
Exclusive License – Buyers receive broader rights (possibly including master ownership) as described in your listing. Once sold, you may not resell or relicense the Product.
Free/Promo License – Only for non-commercial use. Commercial exploitation requires a paid license.
You are responsible for setting license terms in compliance with HitFiend’s content policies.
All Products must be uploaded via Fluent Form ID 3, linked to your vendor-specific Dropbox folder through Out-Of-The-Box.
Acceptable formats: MP3 (preview), WAV, high-quality audio files, stems (if applicable).
You must include accurate metadata, including BPM, genre, and tags. HitFiend may use automated tools to suggest or populate these fields.
You may set your own pricing for each license type using the Sonaar MP3 Player options.
HitFiend retains a commission percentage on each sale, which will be disclosed in your vendor dashboard.
Payments will be issued to you according to the payout schedule, minus applicable commissions, transaction fees, and taxes.
You are responsible for all tax obligations arising from your sales.
You represent and warrant that:
You own or control all rights to the Products you upload.
Your Products are free from unauthorized samples or copyrighted material unless properly cleared.
Your Products do not contain malicious code, unlawful material, or violate any laws.
No third-party agreements conflict with your participation on HitFiend.com.
Producers may not:
Upload infringing, stolen, or misleadingly labeled content.
Circumvent Platform payment processing.
Manipulate sales, reviews, or analytics.
Distribute Products sold via HitFiend outside of the Platform without authorization.
HitFiend reserves the right to remove any Product or terminate your account for policy violations, infringement claims, or inactivity.
Removal or termination does not affect accrued payment obligations.
You agree to indemnify, defend, and hold harmless HitFiend, its affiliates, and employees from any claims, damages, liabilities, and expenses (including attorney’s fees) arising from your Products, activities, or breach of this Agreement.
To the fullest extent permitted by law, HitFiend is not liable for indirect, incidental, special, or consequential damages, loss of profits, or loss of data, even if advised of the possibility of such damages.
This Agreement shall be governed by and construed under the laws of the State of Florida, USA, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration in Florida, unless prohibited by law.
HitFiend may update this Agreement at any time. Notice of changes will be posted on the Platform. Your continued use after changes constitutes acceptance.
By checking the box “I agree to the HitFiend Producer Terms of Service” during registration or upload, you acknowledge and accept these terms as of August 14, 2025.
